1. Introduction
These Terms of Service ("Terms") govern access to and use of the Comdity website, platform and related services (the "Platform"). The Platform is operated by Comdity LLC ("Comdity", "we", "us"), 7901 4th St N, Ste 300, Saint Petersburg, FL 33702-4399, USA.
By creating an account, using the membership, posting or using restricted features, you agree to these Terms. If you do not agree, do not create an account or use the restricted services. Browsing the public listings needs no account. If you use the Platform for a company or other legal entity, you confirm that you are authorised to act for it; "you" then means both you and that entity.
2. Eligibility and business use
The Platform is for business-to-business ("B2B") trading of commodities and raw materials. To register you must:
- be at least eighteen (18) years old and have the legal capacity to enter into these Terms;
- be authorised to register and act for the company you represent;
- give accurate, complete and current registration and company information; and
- register with your own company email address (free email providers such as Gmail or Hotmail are not accepted).
By accepting these Terms and registering, you declare that you are at least 18 years old and authorised to represent the company linked to your account. This is a statement made by you; it is not independent verification of age or identity. We may ask for reasonable additional information to verify account or company details, investigate suspected misuse or comply with law, and may restrict or suspend an account if eligibility or authority cannot reasonably be established.
3. Nature of the Platform
Comdity is an online marketplace. Eligible companies can publish sell offers and buy requests, search listings, and send offers and counteroffers through the features we provide. Comdity provides technology and marketplace infrastructure only. Unless we agree otherwise in a separate written agreement, Comdity is not:
- the buyer or seller of any commodity, or its owner, producer, supplier, importer or exporter;
- a commodity broker, commercial agent or intermediary acting for either party;
- a shipowner, carrier, freight forwarder or shipping agent; or
- a bank, payment guarantor, escrow provider or trade-finance institution.
Comdity does not take ownership of goods and is not a party to a trade between users because it hosts listings or records offers. We do not guarantee that a listing will receive offers, that an offer will be accepted or that a trade will be completed.
4. Accounts and company information
- One company account includes up to five users, each with their own login. Colleagues join with an email address on the company's domain. Company administrators manage users and settings.
- Keep your credentials secure and do not let unauthorised people use your account. You are responsible for what is done through your account, subject to applicable law. Tell us promptly if you suspect unauthorised access, and keep your company information up to date.
- You are responsible for ensuring that information you submit is accurate, lawful and not misleading.
- To keep the marketplace trustworthy we limit how many new postings the companies of one email domain can publish per day and per month. Editing a posting does not count.
- We may ask for reasonable verification of a company's identity or authority. Verification, where we do it, is not a guarantee of the company's solvency, reliability, products or performance.
5. Membership and fees
- Browsing is free. Publishing listings and sending offers need an active annual company membership. The price, duration, included users and payment conditions are shown on the membership page and at checkout before you pay. The launch price is USD 99 for the first year; later terms are charged at the price shown when you renew. Prices are in US dollars and exclude applicable taxes (such as VAT, GST or sales tax), which are added where the law requires. You may be asked for a company tax number.
- Payment is by card through our payment provider, Stripe. We do not see or store your full card number.
- A membership never renews automatically. You renew by paying for a new term; we email you before it ends. A renewal paid before the end continues from the end date.
- When a membership ends, new postings and new offers stop. Negotiations that are already running can be finished, and active listings stay visible for 14 more days.
- Unless the law requires otherwise or the offer shown at purchase says otherwise, membership fees are not refundable because a member chooses not to use the Platform. This does not exclude mandatory statutory refund or cancellation rights.
- We may change prices or features for future terms with appropriate notice. A change does not alter a term you already paid for, unless the law permits or you agree.
6. Listings and offers
- A listing is a sell offer (on FOB terms, optionally open to CFR and CIF offers) or a buy request (on CFR or CIF terms, optionally open to FOB offers). FOB, CFR and CIF have the meaning of the ICC Incoterms® rules in force unless the parties agree otherwise.
- A new listing goes live only after the company confirms it through the link we send to the company email address. A listing that is not confirmed within 48 hours is removed.
- You are solely responsible for the accuracy, completeness and legality of what you provide, including the product, grade, specification and origin; quantity and unit; price, currency and commercial terms; delivery terms, ports and delivery periods; payment conditions; and any licences, certificates or permits needed for the trade. You must not publish false, deceptive, fraudulent, unauthorised or materially incomplete information, and you must have the right to publish it and to make the offer.
- You can edit some details of a listing; the type, product, country of origin, delivery terms and ports cannot be changed after posting.
- An offer can be accepted ("Start negotiation"), countered, declined or withdrawn. It is valid for the number of hours (24, 48 or 72) chosen by its sender and expires by itself when that time ends. A counteroffer changes the price only: the delivery term, the port, the quantity and the delivery period stay as offered. Accepting an offer starts a negotiation; a deal exists only when the two companies mark the negotiation as Agreed.
- A listing or offer does not mean that Comdity has verified the information or approved the proposed trade.
7. Transactions between users
Users are solely responsible for their negotiations, due diligence, contracts, payments, delivery and performance. An agreement recorded on Comdity records what the two companies accepted; they then finalise the contract directly, and any contract for the sale, purchase, shipment or delivery of goods is between them. Before trading, verify the other company's identity and authority, the existence and availability of the goods, specifications, origin, documents, sanctions status and payment arrangements.
Comdity does not guarantee the identity, authority, creditworthiness or reliability of any user; the existence, quality, quantity, origin, ownership or availability of any commodity; the accuracy of any listing, offer, document or statement; payment, delivery or performance; or the enforceability of any agreement between users. Comdity does not give legal advice and does not decide whether a legal obligation has arisen from an offer, acceptance or message.
8. Prohibited goods and conduct
You must not use the Platform to:
- commit fraud, impersonation, misrepresentation or any unlawful activity, or publish fictitious listings, sham offers or knowingly misleading information;
- offer or seek goods or transactions prohibited by law, including military, defence or nuclear-related goods or goods that need a licence you do not hold, counterfeit or stolen goods, or goods or parties covered by sanctions or embargoes that apply to you;
- violate sanctions, export-control, import-control, anti-bribery, anti-money-laundering or trade-compliance requirements;
- infringe another person's intellectual property, privacy or other rights;
- gain unauthorised access to accounts, systems or data, upload malicious code, circumvent posting limits, fees or technical safeguards, or interfere with the security or operation of the Platform; or
- copy the marketplace by automated means, or otherwise act in a way that is deceptive, abusive or materially harmful to other users or Comdity.
We may remove content, restrict features, ask for information, or suspend or end an account where reasonably necessary to protect users, investigate suspected misconduct, comply with law or enforce these Terms. Where appropriate and legally permitted we may give notice and a chance to fix the problem. We do not promise to investigate or verify every listing or user.
9. Compliance and due diligence
Each user is responsible for complying with the laws that apply to it and to its trades, including trade, customs, product, sanctions, export-control, tax, anti-bribery and anti-money-laundering requirements, and for checking the other company. We may restrict access to listings, accounts or transactions where we reasonably believe it is necessary for legal compliance, security or to prevent misuse.
10. Shipping through Shipfixing (optional)
After an agreement, the company that normally arranges the sea freight (the buyer on FOB terms, the seller on CFR or CIF terms) can follow a link to Shipfixing, a separate ship chartering service. Using it is optional, does not create a booking by itself, and is subject to Shipfixing's own terms. Comdity does not charge for the link, does not charter vessels and is not responsible for chartering.
11. Intellectual property and user content
The Platform, including its software, design, branding and original content, belongs to Comdity or its licensors. Subject to these Terms we give you a limited, non-exclusive, non-transferable, revocable right to use the Platform for legitimate business purposes. You keep your rights in what you lawfully submit. You give Comdity a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, format and process it as reasonably necessary to run, secure and provide the Platform and its marketplace functions, and you confirm you have the rights to give it. The licence ends when the content is deleted or the account ends, except where continued retention is needed for operational, security, legal or record-keeping reasons. Do not copy, scrape, redistribute, reverse engineer or commercially exploit the Platform except as the law permits or we authorise.
12. Third-party services
The Platform relies on third-party services such as payment processing, hosting, email and security. They have their own terms and privacy policies, and their availability is not an endorsement or guarantee by Comdity. We are not responsible for independent third-party services beyond what the law requires.
13. Communications
We send service emails: account, confirmations, offers, agreements, membership, security, billing and support. Marketing emails are sent only if you opt in, and you can unsubscribe at any time; this does not stop service, security, billing or legal notices. You can reach support through the Support page.
14. Availability and changes
We use reasonable efforts to keep the Platform available but do not guarantee uninterrupted or error-free service. We may modify, suspend or end features or the Platform for maintenance, security, technical, commercial or legal reasons, respecting your contractual and statutory rights.
15. Disclaimers
To the maximum extent permitted by law, the Platform is provided "as is" and "as available". We do not guarantee that it will meet every need, that listings or offers are accurate, or that users will complete a trade. Nothing in these Terms excludes a warranty, right or remedy that cannot lawfully be excluded.
16. Limitation of liability
To the maximum extent permitted by law, Comdity is not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profit, business opportunity, goodwill, data or expected savings, arising from use of or inability to use the Platform, nor for losses arising from disputes, misrepresentations, non-performance, payment failures, product defects, delivery failures or other acts or omissions of users or third parties in a trade. To the extent the law allows, Comdity's total liability for a claim is limited to the membership fees the company paid to Comdity in the 12 months before the event. No provision of these Terms excludes or limits liability where the law prohibits it, including non-excludable statutory or consumer rights.
17. Indemnification
To the extent permitted by law, you are responsible for claims, losses, liabilities and reasonable costs arising from your unlawful conduct, your material breach of these Terms, infringement of third-party rights or misuse of the Platform. This does not make you responsible for losses caused by Comdity's own conduct where that responsibility cannot lawfully be transferred.
18. Suspension and termination
You may stop using the Platform at any time, and you can close your company account once nothing is open (no open listings or offers). Closing does not by itself entitle you to a refund of membership fees, subject to the law and the terms shown at purchase. We may suspend or end access for material breach, suspected fraud, security risk, non-payment, legal requirements or other legitimate reasons relating to the safe and lawful operation of the Platform, giving notice and a chance to fix the problem where appropriate and permitted. Ending does not remove rights or duties that arose before; provisions that by nature should survive (intellectual property, disclaimers, liability, disputes) continue. Records needed for legal, tax or safety reasons are kept.
19. Privacy
We process personal information as described in our Privacy Policy, which forms part of the information governing use of the Platform. It does not replace any separate consent that privacy law requires.
20. Changes to these Terms
We may update these Terms for changes in the Platform, our business or the law. The updated version shows its date. Where the law requires, we give notice or ask for renewed acceptance before material changes apply.
21. Governing law and disputes
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law rules, and the courts located in Pinellas County, Florida have jurisdiction, except where mandatory law gives you other rights that cannot be excluded. We encourage you to contact us first to try to resolve a dispute informally.
22. Entire agreement and severability
These Terms, with any membership terms and policies they expressly include, govern use of the Platform. If a provision is unenforceable it is limited to the minimum extent necessary and the rest stays in force. Failing to enforce a provision is not a waiver. You may not transfer your account; we may transfer ours with the business.
